The terms and conditions of sale are described generally and provisionally in this brochure. However, the definitive terms and conditions of sale will be those set forth in the bidder information packet (the Bid Packet) provided by Schrader Real Estate and Auction Company, Inc. (the Auction Company) for purposes of this auction. The terms and conditions set forth in the Bid Packet shall supersede and take precedence over this brochure, any other previously-printed material and any oral statements.

SEALED BID AUCTION PROCEDURE: All bids must be submitted in accordance with the instructions set forth in the Bid Packet. To obtain a Bid Packet, contact one of the Auction Managers or visit the Auction Companys website at www.schraderauction.com. The Bid Packet will include bidding instructions and delivery information, as well as additional information concerning the tracts offered for sale (the Auction Tracts), including but not limited to preliminary title insurance commitment(s). All bids must be received by the Auction Company on or before June 28, 2012 at 5p.m. EDT. You will be notified of the acceptance or rejection of your bid in accordance with the procedure set forth in the Bid Packet.

EARNEST MONEY: A 10% earnest money deposit must be delivered with your bid in the form of a cashiers check or wire transfer payable to the escrow agent identified in the Bid Packet. If your bid is not accepted, your earnest money deposit will be promptly returned to you in accordance with your written instructions, as provided in the Bid Packet.

BROKER PARTICIPATION: Seller will pay a 3% commission at closing to the appropriately-licensed real estate broker whose prospect successfully closes on real estate sold in this auction if the following conditions are satisfied: (1) The broker must have registered as the agent of such prospect on or before Thursday, June 14, 2012 (the Registration Deadline) by: (a) completing the registration form provided by Auction Company for such purpose (the Registration Form); and (b) returning the completed Registration Form, signed by the prospect and the broker/agent, to Auction Company on or before the Registration Deadline, along with all information requested therein.

(2) The completed and signed Registration Form must be actually received by Auction Company on or before the Registration Deadline via one of the following methods of delivery: (a) by faxing to 574-858-9759 ; (b) by scanning and emailing as a PDF attachment to gannon@garybaileyauctions.com; (c) by U. S. mail or overnight courier addressed to Schrader Real Estate and Auction Company, Inc., P. O. Box 508, Leesburg, IN 46538.

(3) Prior to the Registration Deadline, the broker must show the property to the prospect and must attend and register with the prospect at one of the property inspections and sign all required documents.

(4) Prior to such registration, there must have been no contact regarding this property between such prospect and either Seller or Sellers agents.

(5) No commission will be paid to any broker or agent who participates (or whose family member participates) in the purchase of the property directly or indirectly as a principal. (The broker may be required to execute an affidavit confirming that the broker is participating only as an agent and not as a principal.)

These procedures for broker registration will be strictly enforced. No exceptions can be made and no oral registrations will be accepted. Auction Company will maintain a complete file of all registered prospects. Only the first agent registering a prospective bidder will be recognized. APPROVAL OF BID PRICES: Those certain Auction Tracts which are designated in this brochure as will sell shall be sold regardless of price. All other Auction Tracts are offered subject to Sellers approval and acceptance of the bid prices.

TITLE INSURANCE: Seller will provide an owners title insurance policy at closing in the amount of the purchase price.

CLOSING: Closing shall take place 30 days after bid acceptance, or as soon thereafter as applicable closing documents are completed.

POSSESSION: Possession will be delivered immediately after closing.

REAL ESTATE TAXES: Buyer will pay 2012 taxes and assessments and all taxes and assessments thereafter.

SPECIAL ASSESSMENTS: All of the Auction Tracts except Tract 95 are part of a Community Improvement District (CID) formed by the City of Branson pursuant to Missouri law. As part of its obligation to pay the original bonds issued in connection with the project, the CID is obligated to levy Special Assessments in amounts sufficient to generate annual revenue requirements through 2007. For each respective Auction Tract, the annual amount due for the 2012 Special Assessments is shown in the Auction Tract tables included in this brochure under the column labeled Annual Assessments.

ACREAGE: The aggregate acreages described in this brochure are approximate. The acreages stated for individual Auction Tracts, as shown herein, are based on existing surveys and/or plats of the Branson Commerce Park development and a separate survey of Tract 95, but such acreages are not guaranteed by Seller or Auction Company.

BOUNDARIES; SURVEY: The images depicting the Auction Tract boundaries in this brochure are approximations based on the actual surveys and/or plats of the Branson Commerce Park development and a separate survey of Tract 95. The Auction Tracts will be conveyed using the existing legal descriptions. Seller will not be obligated to provide new surveys.

EASEMENTS, COVENANTS AND RESTRICTIONS: The sale of the property is subject to all easements, covenants and restrictions of record. The Bid Packets will include copies of the preliminary title insurance commitment(s).
